Spruce Point Capital is short IperionX Ltd. (Nasdaq / ASX: IPX), a company with ambitions of becoming a vertically integrated producer of titanium powders and products. Spruce Point believes investor expectations are too high and expresses concerns with the accuracy of its financial reporting. Key concerns include significant management overlap with the collapsed Piedmont Lithium, doubts about the HAMR technology's ability to displace the 70-year-old Kroll process, oversupplied end markets, no revenue despite a Ford contract, Titan project delays, financial reporting discrepancies, and evidence of potential breach of duty by CEO Taso Arima related to undisclosed entities (PowerChem, GX Technologies). IPX trades at 9.7x and 24x book value and 2026E revenues vs. industry medians of 1.4x and 1.8x. Spruce Point estimates 70-95% downside risk.

The Core Allegation

IperionX Ltd. (Nasdaq / ASX: IPX) has investor expectations that are too high and faces significant challenges in commercial efforts that may not be fully reflected in its valuation. Spruce Point also expresses concerns with the accuracy of its financial reporting.

Management Track Record

IPX management and technical advisors have significant overlap with Piedmont Lithium (PLL), which:

  • Faced allegations from two short sellers that it was a stock promotion with ties to a banned Australian stockbroker
  • Had various financial and operational shortcomings
  • Collapsed in value, merged, and changed names

Other ventures where IPX management promoted large resources and clear paths to predictable, strong cash flows but failed to produce anything:

  • Paringa Resources (now Terra Metals)
  • Coalspur Mines

HAMR Technology Doubts

Spruce Point questions the scalability and likelihood of success of IPX's promoted HAMR™ technology which it believes can displace the 70-year-old established Kroll process:

  • Technology was passed over by initial commercial partners Boeing and Arconic
  • Acquired for only a modest premium to its decade-long R&D cost
  • Other promising technologies intended to compete against the Kroll process ultimately failed to scale from the lab to sustained commercial production

Oversupplied End Markets

Even if IPX reaches scaled production, the end markets are not attractive:

  • Titanium powder market is already oversupplied with 3.5x more capacity than shipments
  • Fasteners market is highly competitive, consolidated and dominated by large players

No Revenue Despite Ford Contract

There is enthusiasm around a Ford contract estimated to generate ~$11 million starting in 2025, but:

  • No revenues have been booked
  • IPX listed no inventory on its balance sheet (raw materials or finished goods) at fiscal year end
  • No inventory purchases through September 30th

Spruce Point questions if any revenues are imminent.

Vaporware Partnerships

Other partnership and customer announcements do not appear to have resulted in much:

  • Some partnerships have expired
  • Others IPX no longer references
  • Future revenue remains uncertain

Titan Project and Feedstock Concerns

  • IPX's Titan mining project in Tennessee is challenged and has fallen short of its initial timeline
  • Discrepancies with Titan's acreage, capex, G&A costs, and employee counts
  • A potential offtake partner was described as a Japanese conglomerate, but a Japanese conglomerate just invested in a similar mining project in Australia instead

Financial Reporting and Operational Red Flags

  • IPX recently had a material weakness of internal controls (claims it was remediated)
  • A recent site visit to IPX's U.S. headquarters revealed what appeared to be an empty office with stacked boxes, mail on the ground, and outdated investor materials

CEO Conflict of Interest (December 1, 2025 Update)

Spruce Point uncovered concerning evidence of what may be a breach of duty by IPX CEO Taso Arima related to undisclosed entities he appeared to control:

  • PowerChem Inc.
  • PowerChem Land, LLC
  • GX Technologies, LLC ("GX")

These entities involve a similar investment story to IPX: promote an exciting industrial technology (graphene oxide). The contact email in two PowerChem public filings is accounting@iperionx.com, and these entities cannot be found in U.S. securities filings.

Spruce Point sent a letter to IPX audit committee chair Tony Tripeny suggesting the Company form a committee with an independent forensic investigator.

Extreme Valuation Premium

IPX has a $1.2 billion market cap and is trading at:

  • 9.7x book value vs. industry median of 1.4x
  • 24x 2026E revenues vs. industry median of 1.8x

This is a substantial premium to other specialty metal companies that actually have revenue and production.

The Downside

Based on Spruce Point's analysis, investors should exercise caution because the shares may be significantly overvalued, with potential downside risk of 70% - 95% under certain scenarios.
