Gotham City Research alleges Sumitomo Pharma's parent-company financial statements contain an unexplained ¥116 billion irregularity tied to a dividend from its Swiss subsidiary — variously reported as ¥48bn, ¥56bn, and ¥164bn — with the largest figure booked as a non-cash distribution-in-kind of accounts receivable. GCR ties this to a highly anomalous 76% YoY surge in Pharma's receivables (versus 14% revenue growth) and estimates true earnings at both Chemical and Pharma are 50-100% lower than reported, with Chemical's real leverage closer to 6x-10x versus a reported 3.5x. GCR calls both stocks uninvestable and sees 50-100% downside.

thesis / five points
  1. 01A March 2026 press release booked a ¥48.3bn Swiss-subsidiary dividend at Sumitomo Pharma; later shareholder-meeting notes disclose the same dividend as ¥164.5bn, paid in-kind as accounts receivable — a ¥116bn gap GCR says is unreconciled anywhere in the filings.
  2. 02Sumitomo Pharma's trade receivables grew 76% YoY versus 14% revenue growth in FY2025 — the highest receivables growth in at least a decade — with no company explanation found in filings or the earnings call.
  3. 03GCR estimates Chemical's and Pharma's FY2025 net income are 50-100% lower than reported once non-recurring gains (asset/business-transfer sales) and the suspect receivables are excluded.
  4. 04GCR recalculates Sumitomo Chemical's leverage at 6.1x-10.2x versus a reported 3.5x, and finds Pharma — just 20% of Chemical's revenue — actually drove 92% of Chemical's FY2025 net income.
  5. 05GCR flags a Q1 FY2026 print with positive earnings but sharply negative operating cash flow, discontinued regional profit disclosure for Pharma's North American unit, and a reported Latuda sales increase in Japan it says is inconsistent with a ~700-person sales-force cut.
full thesis

The ¥116 Billion Swiss Shuffle

On August 4, 2026, Gotham City Research (GCR), working with General Industrial Partners LLP, published a short report on Sumitomo Chemical (TSE: 4005) and its majority-consolidated subsidiary Sumitomo Pharma (TSE: 4506), alleging a ¥116 billion accounting irregularity in Pharma's non-consolidated financial statements and questioning whether both companies' FY2025 "V-shaped recovery" narrative is being propped up by non-recurring gains, aggressive accounting, and potentially fictitious revenue.

Epistemic note: GCR's calculations are drawn from Sumitomo's own public filings, press releases, and shareholder-meeting documents, which GCR cites extensively. Its characterization of those documents as evidence of fictitious revenue, channel stuffing, and a deliberate "shuffle" is GCR's opinion, disclosed as coming from a short seller that profits if the share prices decline. None of this has been verified by The Forensic Ledger, adjudicated by a regulator or court, or admitted by Sumitomo Chemical or Sumitomo Pharma.

The core allegation: three different numbers for one dividend

GCR's thesis centers on a cross-border dividend from Sumitomo Pharma's Swiss subsidiary, Sumitomo Pharma Switzerland GmbH (SMPS), to the Pharma parent company during FY2025 (year ended March 31, 2026):

  • March 25, 2026 — Sumitomo Pharma announces via press release that it will book ¥48,340 million of dividend income from SMPS as non-operating income, with no impact on consolidated results.
  • May 13, 2026 — Sumitomo Chemical (Pharma's parent) issues a notice on Pharma's non-consolidated results, attributing a jump in ordinary income "mainly due to dividend income received from SMPS" — but the non-consolidated statement of profit or loss shows ¥56,546 million of "interest and dividend income," not ¥48,340 million.
  • May 29 - June 1, 2026 — Separate notes to the shareholders'-meeting documents, and the Japanese-language EDINET filing, disclose a ¥164,526 million "receipt of distributions-in-kind (dividends)" from SMPS — described explicitly as the acquisition of accounts receivable previously held by the Swiss subsidiary.

GCR says it could not reconcile the 48/56 billion figures with the 164 billion figure, could not locate the ¥164.5 billion transaction anywhere on the parent company's income statement or balance sheet, and found no disclosure that the larger dividend is eliminated in consolidation. It calls this a ~¥116 billion unexplained gap, and notes the gap is similar in size to the ~¥114-116 billion Sumitomo Pharma raised in an April 2026 public equity offering.

Why GCR thinks this matters: an anomalous receivables surge

GCR separately flags that Sumitomo Pharma's trade and other receivables grew 76% year-over-year (from ¥74.8bn to ¥131.4bn) while revenue grew only 14% — a pattern it says never occurred in the prior ten years (the next-highest growth, during COVID, was 18%). GCR calls the dollar amount of the receivables increase (~¥56bn) "oddly similar" to the dollar increase in revenue (~¥54bn) and says it found no company explanation for the anomaly in filings or the earnings call transcript. GCR frames three explanations, from best to worst case: (1) the non-consolidated statements are simply misstated and will be restated with limited consolidated impact; (2) the dividend/receivables treatment reflects undisclosed related-party engineering used to flatter Pharma's parent-level balance sheet ahead of its April equity raise; or (3) the receivables growth reflects fictitious or channel-stuffed revenue at the consolidated level.

Earnings quality and leverage

Stripping out what GCR calls non-recurring "other operating income" (mostly gains on business transfers and asset sales), GCR estimates:

  • Sumitomo Chemical's FY2025 net income, reported at ¥115.4bn, would range from a ¥12.4bn loss to ¥18.8bn in profit (an 84-111% reduction) once one-time gains are excluded.
  • Sumitomo Pharma's FY2025 net income, reported at ¥106.9bn, would range from ¥0.3bn to ¥57.8bn (a 46-100% reduction) once one-time gains and the suspect receivables growth are excluded.
  • Chemical's reported net leverage of 3.5x should, in GCR's view, be closer to 6.1x-10.2x once non-recurring EBITDA and Pharma's minority interest are adjusted for.
  • Sumitomo Pharma represents ~20% of Chemical's revenue but, on a net-income basis, GCR calculates Pharma drove 92% of Chemical's FY2025 profit — a dependence GCR says Chemical's disclosures and presentations systematically understate (e.g., a March 2025 slide implicitly assigned Pharma just 2.5% of a combined "Pharma + Other" FY2027 profit target).

Other flags raised in the report

GCR also cites: a Q1 FY2026 print in which reported earnings were positive but operating cash flow turned sharply negative (partly on a large, unexplained "other, net" cash outflow); the discontinuation of regional operating-profit disclosure for Sumitomo Pharma's North American segment, which GCR says previously showed structurally declining margins since the Latuda patent-cliff; a reported year-over-year increase in Japanese Latuda sales that GCR's field research says is inconsistent with a ~700-person Japanese sales-force reduction and reports of wholesaler inventory buildup; steep employee-count and R&D-spend cuts at Pharma; and the fact that Sumitomo Chemical's long-tenured auditor, KPMG AZSA, previously audited Olympus and NOVA Corporation, two companies with historical Japanese accounting scandals (GCR does not allege KPMG AZSA wrongdoing regarding Sumitomo, only notes the historical association).

What would falsify this thesis

Falsification would look like: Sumitomo Pharma and/or Sumitomo Chemical publishing a clear, reconciled explanation of the ¥48bn/¥56bn/¥164bn dividend figures showing they refer to the same transaction and are properly eliminated in consolidation; the Swiss subsidiary's audited financial statements (expected in 2028) confirming the transaction as disclosed; the anomalous receivables growth being explained by a legitimate, disclosed one-time event (e.g., a bulk sale with extended payment terms) rather than channel stuffing; and subsequent quarters showing operating cash flow converging with reported net income rather than diverging further.

Gotham City Research's disclosed position

GCR and its affiliates disclosed holding short positions in Sumitomo Chemical and/or Sumitomo Pharma stock (and/or related derivatives) and stated they stand to profit if the share prices decline.

what would falsify this

A clear, reconciled company explanation showing the ¥48bn/¥56bn/¥164bn dividend figures refer to one transaction properly eliminated in consolidation; confirmation via the Swiss subsidiary's future audited statements; a disclosed, legitimate one-time explanation for the 76% receivables surge; and subsequent quarters showing operating cash flow converge with reported net income rather than diverge further would each undercut this thesis.
