Blue Orca Capital disclosed a short position in Sigma Lithium (SGML), alleging the company failed to disclose a technical report claiming its Grota do Cirilo mine has pit walls so steep they create a 'high potential for loss of human life,' along with a sealed $22 million lawsuit from its former mining contractor, over a dozen additional creditor actions, a $2 million U.S. arbitration judgment, an emergency Brazilian state prosecutor lawsuit seeking to freeze $9.2 million of its cash, and federal prosecutor demands to annul its mining and environmental licenses.

  2. 02Sigma's former mining contractor reportedly filed a sealed $22 million USD lawsuit for unpaid invoices, undisclosed to investors, shortly after its abrupt October 2025 departure
  3. 03Brazilian state prosecutors filed an emergency lawsuit in December 2025 seeking to freeze $9.2 million of Sigma's cash over alleged environmental and social harm
  4. 04Federal prosecutors issued formal demand letters in September 2025 recommending suspension or annulment of Sigma's mining and environmental licenses over alleged failure to consult indigenous communities

full thesis

Blue Orca Capital (through its research affiliate BOC Texas, LLC) published a report on April 30, 2026 disclosing a short position in Sigma Lithium Corporation (SGML), a Brazilian lithium miner. The firm alleges that Brazilian court records and regulatory filings reveal a series of highly material facts it says Sigma has not disclosed to investors.

First, Blue Orca cites a 2025 technical report (which it calls the "Chiavini Report"), prepared by Brazilian mining engineering firm Chiavini & Santos for a litigant in unrelated shareholder litigation, alleging that Sigma deviated from its approved mine plan and built pit walls at its Grota do Cirilo mine as steep as 65 meters against an approved 24-meter maximum bench height, creating what the report calls a "high potential for loss of human life." Blue Orca says it commissioned satellite imagery and retained independent mining experts, including a former U.S. Bureau of Mines safety investigator, who it says found the allegations credible and described the pit walls as "very unsafe" and a "financial risk to production as well as a safety hazard." Blue Orca suggests this may explain the abrupt, unexplained departure of Sigma's mining contractor in October 2025.

Second, Blue Orca alleges Sigma is facing an undisclosed liquidity crisis, citing a sealed São Paulo lawsuit it says the former mining contractor, Fagundes Construção, filed on October 15, 2025 to collect roughly R$115 million (~$22 million USD) in unpaid invoices, plus Brazilian filings it says show over a dozen additional creditors have sued or filed formal debt-collection protests against Sigma, and a $2 million USD arbitration judgment obtained by strategic advisory firm Teneo Strategy LLC in New York after Sigma allegedly stopped participating in the proceeding.

Third, Blue Orca cites a December 16, 2025 civil lawsuit it says Brazilian state prosecutors in Minas Gerais filed against Sigma alleging systematic environmental and social harm, seeking emergency injunctive relief and asking the court to freeze R$50 million (~$9.2 million USD) of Sigma's cash based on the prosecutors' stated fear that Sigma's finances may not support future remediation costs.

Fourth, the report cites two formal "Recomendações" (demand letters) that Brazilian federal prosecutors issued in September 2025 to Brazil's federal mining agency (ANM) and state environmental agency (SEMAD), recommending that Sigma's mining and environmental licenses be reviewed, suspended, and potentially annulled over an alleged failure to conduct legally required consultations with indigenous and traditional communities.

Fifth, Blue Orca points to what it calls a governance crisis: five CFOs and seven independent director resignations in roughly three years, alongside three consecutive years of adverse auditor opinions.

Blue Orca states it does not believe the mine will fully reopen without interruption or restriction, and that Sigma's cash position (reported at $6.1 million as of Q3 FY2025) leaves it with little room to absorb these combined legal, regulatory, and operational pressures.

what would falsify this

This thesis would be falsified if Sigma discloses the referenced lawsuits and regulatory demand letters and demonstrates they are immaterial or already resolved; if independent engineering review contradicts the Chiavini Report's pit-wall safety findings and confirms the mine plan was followed; if the mine resumes full, uninterrupted production without new restrictions; if Sigma satisfies or settles the creditor claims and arbitration judgment without a material impact on liquidity; and if Brazilian regulators decline to act on the federal prosecutors' license-annulment recommendations. Corroborating developments would include a court ruling granting the state prosecutor's asset freeze, regulatory suspension of mining or environmental licenses, further undisclosed creditor actions coming to light, or continued executive and board turnover.
